Terms & Conditions

LMISW Group provides strategic consulting and advisory services to businesses in France and internationally.

2. Scope of services

Services provided, including:

  • Strategic consulting and commercial development support
  • Advisory on market development and commercial strategy
  • Business management consulting
  • Advisory on distribution, international expansion and market entry strategies
  • Introduction and networking services between companies and providers
  • Intellectual property advisory related to the above activities

Forms of engagement:

  • Strategic advisory engagements
  • Consulting engagements
  • Strategic analyses and recommendations
  • Executive advisory discussions

The exact scope of each engagement is defined in a quote, engagement letter or service contract established between LMISW Group and the client.

3. Contract formation

The contractual relationship is formed by:

  • The acceptance of a written quote or purchase order, or
  • The signature of a service contract, or
  • Written email confirmation by the client accepting the proposed services

Acceptance implies full and unconditional acceptance of these Terms & Conditions.

4. Nature of services

  • LMISW Group provides advisory services only.
  • Decisions and their implementation remain the client's responsibility.
  • Best efforts obligation — no obligation of result.

5. Fees

Possible fee structures:

  • Project fee
  • Advisory retainer
  • Milestone payments
  • Success fees or performance-based fees (if explicitly agreed)

All fees are expressed in euros excluding VAT.

Applicable VAT will be added where legally required.

6. Payment terms

  • Invoices payable upon receipt unless otherwise stated in the quote or contract.
  • LMISW Group may require a deposit or staged payments depending on the nature and duration of the engagement.
  • Payment by bank transfer to the account indicated on the invoice.
  • LMISW Group reserves the right to suspend services until outstanding invoices are settled.

7. Client obligations

  • Provide accurate and complete information necessary for the performance of services.
  • Cooperate in good faith throughout the duration of the engagement.
  • Designate a responsible contact for coordination with LMISW Group.
  • LMISW Group cannot be held responsible for delays or limitations resulting from incomplete or inaccurate information provided by the client.

8. Confidentiality

  • Mutual confidentiality obligation on all non-public information exchanged during the engagement.
  • Covers in particular: business plans, financial information, strategic and technical data.
  • No disclosure to third parties without prior written consent, except as required by law.
  • Duration of the obligation: 5 years after the end of the engagement.

9. Intellectual property

  • All intellectual property rights in materials, methodologies, frameworks and analytical tools developed by LMISW Group remain its exclusive property.
  • The client has a non-exclusive right to use the deliverables provided for its own internal purposes only.
  • Unless otherwise agreed in writing, the client may not reproduce, distribute or commercialise LMISW Group's proprietary methodologies, frameworks or materials.

10. Limitation of liability

LMISW Group shall not be liable for:

  • Indirect damages
  • Loss of profits
  • Loss of business opportunities
  • Reputational harm

arising from the use of services or recommendations provided. LMISW Group's total liability is limited to the total fees paid by the client for the relevant engagement.

11. Force majeure

Neither party shall be liable for failure to perform its obligations resulting from a force majeure event within the meaning of French law, including:

  • Natural disasters
  • War or civil unrest
  • Major technical failures
  • Government restrictions

12. Termination

  • As per the terms defined in the service contract.
  • In the absence of specific contractual provision: 15 days' written notice.
  • Work performed prior to termination remains due.

13. Independent contractor status

  • LMISW Group operates as an independent contractor.
  • These Terms & Conditions do not create any partnership, joint venture or employment relationship.

14. Applicable law and jurisdiction

  • These Terms & Conditions are governed by French law.
  • Any dispute relating to their interpretation or performance falls within the exclusive jurisdiction of the courts in the jurisdiction of LMISW Group's registered office, unless mandatory legal provisions provide otherwise.
